1. ACCEPTANCE OF TERMS

By accessing or using the services provided by Creativz (“we,” “us,” or “our”), you (“Client” or “you”) agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services.

2. SERVICES PROVIDED

2.1 Service Offerings Creativz provides digital design and marketing services including but not limited to:

• Landing page design and development

• Website design and development

• Conversion rate optimization consulting

• Digital marketing strategy and implementation

• Branding and graphic design services

2.2 Service Delivery

• All services are delivered digitally unless otherwise specified

• Delivery timelines are estimates and may vary based on project complexity

• Final deliverables will be provided in agreed-upon formats

• Source files and design assets remain property of Creativz until full payment is received

3. PAYMENT TERMS

3.1 Pricing and Payment

• All prices are in USD unless otherwise specified

• Payment is processed through Stripe, our secure payment processor

• Full payment is required before project commencement unless otherwise agreed in writing

• Special promotional pricing is subject to availability and time limitations

3.2 Payment Processing

• We accept major credit cards, debit cards, and ACH transfers through Stripe

• All payments are subject to Stripe’s terms of service

• Transaction fees, if any, will be clearly disclosed before payment

• Failed payments may result in service suspension or termination

3.3 Late Payments

• Overdue payments may incur a late fee of 1.5% per month

• Services may be suspended for accounts with outstanding balances over 30 days

• Collection costs and legal fees may be added to delinquent accounts

4. PROJECT SCOPE AND REVISIONS

4.1 Scope Definition

• Project scope will be clearly defined in a separate project agreement or proposal

• Additional work outside the agreed scope will be charged separately

• Client is responsible for providing all necessary materials, content, and feedback

4.2 Revision Policy

• Standard packages include specified number of revision rounds

• Additional revisions beyond the included amount will be charged at our hourly rate

• Revision requests must be submitted in writing with clear, actionable feedback

• Revisions that significantly alter the original scope may require additional charges

4.3 Client Responsibilities

• Provide timely feedback within 7 business days of each deliverable

• Supply all necessary content, images, and brand materials

• Ensure accuracy of all provided information and content

• Respond to requests for information or clarification within reasonable timeframes

5. INTELLECTUAL PROPERTY

5.1 Client Content

• Client retains ownership of all content, logos, and materials provided to us

• Client grants us license to use provided materials solely for project completion

• Client warrants they have rights to all materials provided and indemnifies us against claims

5.2 Our Work Product

• Upon full payment, client receives full rights to the final deliverables

• We retain the right to display completed work in our portfolio unless client requests confidentiality

• Pre-existing intellectual property, templates, and methodologies remain our property

• We reserve rights to general methodologies and non-client-specific processes developed

5.3 Third-Party Assets

• Stock photos, fonts, or other licensed assets may require separate licensing

• Client is responsible for obtaining proper licenses for any third-party assets they request

• We will clearly identify any third-party assets requiring additional licensing

6. CONFIDENTIALITY AND NON-DISCLOSURE

6.1 Confidential Information

• We agree to maintain confidentiality of all proprietary client information

• Confidential information includes business plans, customer data, financial information, and trade secrets

• This obligation survives termination of our business relationship

• Standard portfolio display rights are retained unless client specifically requests confidentiality

6.2 Exceptions

• Information already public or independently developed

• Information required to be disclosed by law or legal process

• Information disclosed with client’s written consent

7. WARRANTIES AND LIABILITY

7.1 Service Warranties

• We warrant our services will be performed in a professional manner

• We warrant deliverables will materially conform to agreed specifications

• We do not warrant specific business results or conversion rates

• All warranties are limited to re-performance of non-conforming services

7.2 Limitation of Liability

• Our total liability for any claim is limited to the amount paid for the specific project

• We are not liable for indirect, incidental, consequential, or punitive damages

• We are not responsible for client’s lost profits, business interruption, or data loss

• Client acknowledges that digital marketing results can vary and are influenced by factors outside our control

7.3 Indemnification

• Client indemnifies us against claims arising from client’s content, business practices, or misuse of our deliverables

• Client is responsible for ensuring their business practices comply with applicable laws

• We are not responsible for client’s compliance with industry regulations or legal requirements

8. PROJECT TIMELINE AND DELIVERY

8.1 Timelines

• Project timelines are estimates based on timely client feedback and material provision

• Timelines may be extended due to client delays, scope changes, or unforeseen circumstances

• Rush delivery may be available for additional fees

• Force majeure events may delay delivery without penalty

8.2 Client Delays

• Failure to provide timely feedback or materials may delay project completion

• Projects may be put on hold after 30 days of client non-responsiveness

• Additional charges may apply for projects requiring restart after extended delays

8.3 Delivery and Acceptance

• Deliverables will be provided in agreed formats via email or secure file sharing

• Client has 7 business days to review and provide feedback on deliverables

• Silence after 7 business days constitutes acceptance of deliverables

• Final files and access credentials provided upon full payment receipt

9. TERMINATION

9.1 Termination by Client

• Client may terminate services with written notice

• Fees for completed work are non-refundable

• Partial refunds may be provided for uncompleted work at our discretion

• All deliverables completed to date become property of client upon payment of outstanding amounts

9.2 Termination by Creativz

• We may terminate services for non-payment, breach of terms, or unreasonable client conduct

• We will provide reasonable notice before termination unless immediate termination is necessary

• Refunds, if any, will be processed according to our refund policy

• We retain the right to withhold deliverables until all payments are current

10. GENERAL PROVISIONS

10.1 Governing Law

• These terms are governed by the laws of WYOMING, USA.

• Any disputes will be resolved in the courts of WYOMING, USA.

• Client consents to jurisdiction and venue in specified location

10.2 Entire Agreement

• These terms, together with any signed project agreements, constitute the entire agreement

• Modifications must be in writing and signed by both parties

• If any provision is unenforceable, the remainder of the agreement remains valid

10.3 Communication

• Official notices must be sent to [email protected]

• Electronic communications are acceptable for project management

• Client agrees to maintain current contact information

10.4 Changes to Terms

We reserve the right to update these Terms at any time. Changes become effective upon posting.
